The Allegro purchasing platform has agreed to acquire a 100% stake in Mall Group and WE | DO CZ from the selling shareholders PPF, EC Investments and Rockaway Capital. The consideration for the transaction is € 881 million based on a company valuation of € 925 million adjusted by liabilities of € 44 million. The final price can be increased by up to 50 million euros based on the performance of the Mall Group. She informed about it on Friday.

The acquired company includes Mall Group e-commerce assets and WE | DO logistics assets based in the Czech Republic, Slovakia, Hungary, Slovenia, Croatia and Poland. The transaction does not concern Vivantis and Mall Pay, nor Mall.tv and Košík.cz, which have already been separated from the Mall group in the past. In the fiscal year (March 21), Mall Group achieved a gross volume of goods of 930 million euros, a gross margin of 14% and EBITDA at the break-even point. “Over the past two decades, Allegro has become a popular shopping destination for customers in Poland. Together with Mall Group and WE | DO, we will now be able to reach the rest of Europe, “said Allegro CEO François Nuyts.

Allegro is a popular shopping platform in Poland and one of the largest e-commerce platforms in Europe.

Mall Group is the largest e-commerce group in Central and Eastern Europe, whose portfolio combines two main areas: e-commerce (Mall, CZC.cz and Vivantis) and Mall Pay financial services for online shopping. It operates in nine countries with more than 4,000 employees and offers its services to 130 million inhabitants of Central and Eastern Europe. In 2020, it delivered more than 14 million orders to its customers.

The agreement represents an important step for Allegro in its international expansion strategy and will allow the emerging group to accelerate its growth across the rest of Europe. In addition, up to 135,000 joint group merchants in Poland and across Central and Eastern Europe will benefit from the opportunity to “advertise in one place and sell everywhere” and gain wider access to the retail market with a reach of 70 million people and a value of 250 billion euros. In addition, the company announces that their combination will improve the shopping experience and offer the best prices, the widest offer, selection, as well as maximum comfort for 18 million common customers throughout the region.
