Banca Ifis Shareholders’ Meeting approves amendments to the articles of association, 2 co-directors have been designated, Lanza and Zingone

The Extraordinary Shareholders’ Meeting of Banca Ifis, which met today in a single call under the chairmanship of Ernesto Fürstenberg Fassio, approved the amendments to articles 10, 11, 13, 15, 17, 18, 20, 21 and 22 of the Articles of Association in anticipation of the new organizational structure that will introduce the roles of two Joint General Managers. At the end of the authorization process, the two Joint General Managers will be Fabio Lanza, who will join the Banca Ifis Group on 1 August 2021, and Raffaele Zingone, in Banca Ifis since 2006 where he has held various positions of responsibility, from management control to director of Banca Ifis Impresa until his most recent responsibility for the Central Business Area. Fabio Lanza, 50, will hold the role of Chief Operating Officer (COO) and will report to the Chief Executive Officer Frederik Geertman. The manager, UniCredit Wealth Management Head of Business Transformation & Development since October 2019, began his career at Credito Italiano. In Unicredit since 2004 he was Head of Learning & Development, Organizational Development and Internal Communication at Unicredit Corporate Banking, then Head of HR Global Leasing and then, in 2011, in charge of Human Resources for the Cib Global F&A, Gtb and Coverage Italy. In June 2015 he became Coo and in November 2016 he was appointed Joint General Manager of Commercial & Operations of Cordusio SIM.The Ordinary Shareholders’ Meeting of Banca Ifis, which also met today in single call, also approved: the update of the remuneration policies and the consequent update of the Report on the remuneration policy and on the remuneration paid approved by the Shareholders’ Meeting of last April 22, 2021; the remuneration plan based on financial instruments for certain company figures described in the information document; the authorization for the purchase and disposal of treasury shares From 1 September 2021, Mauro Baracchi will be the new Human Resources Director. Baracchi, 55, has thirty years of experience in the banking world: the first twenty years spent in Unicredit between Human Resources and Business, the last years in Italease as head of personnel, then at Banco Popolare, then in Banco Bpm with responsibility management of the Group’s personnel. Baracchi will report to CEO Frederik Geertman.
